Terms & Conditions / Assumptions & Agreement

The following assumptions guide the scope, pricing, deliverables, schedule, and staffing of your project:

  • Work will be conducted at DTC Frontier’s office or a designated development location.

  • The client must provide timely responses and participation. Delays in feedback may lead to project termination by DTC Frontier.

  • The project is considered complete upon website launch. Final payment is due before launch.

  • Scope Changes: Estimates are based on current project scope. Additional work due to client revisions or added requirements will be billed at $100/hour.

  • If the client cancels the project or is inactive for over 30 days, DTC Frontier may terminate the agreement and bill for completed work or retain the deposit—whichever is greater.

  • Either party may terminate the agreement with written notice if a material breach isn’t resolved within 30 days. DTC Frontier may terminate immediately for non-payment or lack of cooperation.

  • Clients retain rights to materials they provide. All content created by DTC Frontier remains its property until the full payment is made.

  • The client must approve and test the site within 30 business days of completion notice.

  • Stock Photography: If requested, stock images start at $30/photo. Additional requests are billed hourly.

  • Project timelines depend on prompt client feedback; delays in response may extend the schedule.

  • DTC Frontier does not guarantee search engine placement.

  • The client must provide content after homepage approval. Placeholder text (“Lorem Ipsum”) will be used until content is delivered in the required formats.

  • Websites are not launched on Fridays or before holidays.

  • DTC Frontier offers 90-day post-launch bug support. Changes by the client or use of unapproved hosting may void this support.

  • Cancellation Policy: Deposits are non-refundable. Refunds (minus work completed) are issued within 15–30 business days after cancellation.

  • If DTC Frontier ceases operations, all related work is transferred to the client and the contract is canceled.

  • If subcontractors are used, DTC Frontier will notify and seek client approval. Subcontractors are bound by this agreement.

  • Indemnity: The client will indemnify DTC Frontier against any legal claims or costs arising from the project.

  • Dispute Resolution: Disputes not resolved within 10 days will proceed to arbitration in Suffolk County, NY under the AAA rules. No punitive or treble damages are allowed.

  • Confidentiality: Any confidential information shared by the client will be protected and used only to maintain the website. No rights to intellectual property are transferred unless agreed in writing.

  • Exclusions: Confidentiality does not apply to information already public, previously known to DTC Frontier, lawfully obtained from another source, independently developed, disclosed with consent, or rejected by the client.

Acknowledgment: Both parties confirm that they understand and agree to these terms and that their representatives are authorized to execute this agreement.
